Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Crystalbyte ("Wordzilla", "we", "us", "our") governing your access to and use of the Wordzilla platform and all associated services. By creating an account, clicking "Accept", or otherwise accessing the service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Service Description and Modifications

Wordzilla provides a cloud-based translation management platform. We reserve the sole and absolute right to, at any time and without prior notice, except where prior notice is required by applicable law:

• Modify, suspend, or discontinue any part or all of the service, temporarily or permanently.
• Change, add, or remove features, pricing, credit values, or functionality.
• Impose limits on certain features or restrict access to parts of the service.
• Migrate the service to different infrastructure providers.

To the fullest extent permitted by applicable law, we shall not be liable to you or any third party for any modification, suspension, or discontinuation of the service. Your continued use of the service following any change constitutes acceptance of that change.

3. Accounts and Access

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. We reserve the right to terminate or suspend your account at any time, including but not limited to violation of these Terms, suspected fraud, or conduct we deem harmful to the service or other users, subject to any notice requirements imposed by applicable law.

Upon termination, your right to access the service ceases immediately. We have no obligation to retain or forward your data following termination, except as required by applicable law, including applicable data protection legislation.

4. Credits, Payments, and Refunds

• Credits are purchased in advance and consumed when using paid features such as auto-translation.
• All credit purchases are final and non-refundable except where a right of withdrawal or refund is granted by applicable consumer protection law. Where such rights exist, they are exercisable in accordance with the conditions set out under that law.
• Credits have no cash value and are non-transferable between accounts.
• We reserve the right to change the credit value, pricing, and the cost of any feature at any time, subject to any notice obligations under applicable law.
• Unused credits do not expire, but may be forfeited upon account termination to the extent permitted by applicable law.
• We are not responsible for charges resulting from unauthorized use of your account.
• All prices are exclusive of applicable taxes, which are your responsibility.

5. User Content and License

You retain ownership of the content you upload to Wordzilla ("User Content"). By uploading User Content, you grant Crystalbyte a worldwide, royalty-free, non-exclusive, sublicensable license to store, process, transmit, and display your User Content solely for the purpose of providing the service to you.

You represent and warrant that you own or have the necessary rights to all User Content you submit, and that such content does not infringe any third-party intellectual property rights or applicable law. You are solely responsible for all User Content. We assume no liability for User Content and do not monitor or pre-screen it.

We reserve the right to remove any User Content at our sole discretion and without liability, to the extent permitted by applicable law.

6. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the service or its underlying systems.
• Reverse-engineer, decompile, or disassemble any component of the service.
• Use automated means to scrape, crawl, or extract data from the service without our express written permission.
• Transmit content that is defamatory, obscene, or infringes third-party rights.
• Interfere with the integrity, performance, or availability of the service.
• Resell or sublicense access to the service without our written consent.

7. Third-Party Services

Wordzilla relies on third-party providers including Supabase, Stripe, OpenAI, and PostHog. We are not responsible for the availability, accuracy, or conduct of any third-party service. Any issues arising from third-party services are governed by those parties' own terms and are outside our control. We reserve the right to change third-party providers at any time without notice, except where applicable law requires us to inform you of changes that materially affect the service.

8. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, to the fullest extent permitted by applicable law.

To the fullest extent permitted by applicable law, Crystalbyte expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We make no warranty regarding the accuracy, reliability, or quality of any translation output produced by the auto-translation feature, which relies on third-party AI models and should not be used as a substitute for professional translation review. Nothing in these Terms excludes or limits any warranty that cannot be excluded or limited under applicable law.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Crystalbyte shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business interruption, arising from or related to your use of or inability to use the service, even if advised of the possibility of such damages.
• Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total amount you paid us in the period preceding the claim as permitted under applicable law. Where applicable law mandates a higher minimum liability threshold, that threshold shall apply.
• We are not liable for any loss or corruption of User Content, failure of any third-party service, or the results of any translation produced by the service.
• Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

10. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Crystalbyte and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the service, your User Content, your violation of these Terms, or your infringement of any third-party right.

11. Changes to These Terms

We reserve the right to update or replace these Terms at any time at our sole discretion. The most current version will always be posted at this URL with a revised "Last updated" date. Where required by applicable law, we will provide advance notice of material changes and, where mandated, offer you the right to terminate your account without penalty before the changes take effect. In all other cases, your continued use of the service after changes are posted constitutes binding acceptance of the revised Terms. If you do not agree with any revised Terms, your remedy is to discontinue use of the service.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict-of-law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Germany, except where applicable mandatory law in your country of residence grants you the right to bring proceedings before the courts of that country. To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Crystalbyte.

13. Miscellaneous

• Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right.
• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Crystalbyte regarding the service and supersede all prior agreements.
• Assignment: We may assign our rights and obligations under these Terms without restriction. You may not assign your rights without our prior written consent.
• Consumer Rights: Nothing in these Terms is intended to exclude, restrict, or modify any right or remedy you may have under applicable mandatory consumer protection law that cannot be waived by agreement.
